Ayutthaya Counsel provides estate planning services, which may include the preparation of wills, powers of attorney, letters of wishes, family memoranda, and related advisory documents, as described on our website. The precise scope of each engagement is confirmed in writing at the outset.

Our Services are directed to individuals and families with interests in Thailand. Geographic restrictions may apply where a matter requires local legal authority that we do not hold.

4. Engagement Confirmation

No engagement is formed until Ayutthaya Counsel has provided a written scope and fee confirmation, and the client has signified acceptance. An enquiry submitted through our website does not constitute an engagement, nor does an initial consultation.

The written engagement confirmation sets out the scope, fee, and expected timeline. Matters falling outside that scope will be discussed separately.

All content on this website — including text, design, layout, and structural elements — is the property of Ayutthaya Counsel and is protected by Thai copyright law. You may not reproduce or republish any content without our prior written consent.

Documents prepared for you as part of an engagement are intended for your personal use. They are not to be reproduced or adapted for use by third parties without our consent.

7. Fees and Payment

The fees for our Services are as described on our website and confirmed in the written engagement confirmation. Fees are stated in Thai Baht (THB) and are inclusive of all work within the agreed scope.

Payment terms are confirmed at the time of engagement. We may require a deposit before commencing work. Any work falling outside the agreed scope will be discussed and agreed before it is undertaken, and will be charged accordingly.

Our fees do not cover disbursements payable to third parties (such as Land Department or court fees, notarial charges, or translation costs) unless explicitly stated.

8. Cancellation and Refunds

If you wish to cancel an engagement before work has commenced, you should notify us in writing. Any deposit paid will be refunded in full, less any direct costs already incurred.

If work has commenced, we will charge for work completed to the date of cancellation on a reasonable basis. Any balance of fees paid in excess of the amount properly chargeable will be refunded.

Estate planning documents are prepared on the basis of Thai law as it stands at the time of preparation. Laws may change after documents have been executed. We are not responsible for changes in law that affect the operation of documents after they have been signed.

We do not make any representations about the recognition or enforceability of documents in jurisdictions other than Thailand, except in the context of a Multi-Jurisdiction engagement where overseas matters are expressly within scope.

10. Limitation of Liability

To the fullest extent permitted by Thai law, our total liability to you in respect of any matter arising from or in connection with our Services shall not exceed the total fees paid by you for the engagement to which the matter relates.

We shall not be liable for indirect or consequential loss, including loss of anticipated benefit, loss of opportunity, or costs incurred in connection with third-party legal proceedings, except where such liability cannot be limited by law.

11. Confidentiality

We maintain strict confidentiality in relation to all information you provide in connection with an engagement. We will not disclose your information to third parties except as required to carry out the engagement (with your consent) or as required by law.

12. Termination

Either party may terminate an engagement by written notice. We reserve the right to terminate an engagement if you fail to provide information or instructions within a reasonable time, if the matter falls outside our competence, or if circumstances arise that would make continued engagement inappropriate under professional conduct rules.

On termination, we will provide you with a written summary of work completed and, if appropriate, copies of documents drafted to that point.

13. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of Thailand. Any dispute arising from the use of this website or our Services shall be subject to the exclusive jurisdiction of the Thai courts.

We encourage clients to raise any concern with us directly in the first instance. Most matters can be resolved without formal proceedings.

14. General Provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force. A failure to enforce any provision does not constitute a waiver of the right to enforce it in the future. These Terms constitute the entire agreement between the parties in relation to use of this website, and supersede all prior representations or understandings.

We may update these Terms from time to time. The current version will always be available on this page, with the date of last revision shown above. Your continued use of the website following any update constitutes acceptance of the revised terms.
